In order to sign up for an account at Maxxximize.com you must be at least 18 years of age, or over the age of majority if you reside and/or conduct business in states, provinces or countries where the age of majority is greater than 18 years. You may not sign up if you are not of the age of majority in the state, province or country where you reside and/or conduct business. By signing up to receive services from Maxxximize.com, and by supplying Maxxximize.com with all the required information to activate your account and setup services, you acknowledge that you have read and agreed to all of the terms and conditions, promises, warranties, duties and obligations set forth in the below agreement and agree to be bound by them.

1) We payout 90% of all earnings on your domain name traffic. Maxxximize.com will pay you for all conversions that are generated from visitors that enter our web site(s) and/or affiliate partner website(s) through your domain names. The amount you are paid is 90% of earnings on all verified sales and/or sign ups.

2) We will send out payments weekly, in full, for the previous week's earnings, over a minimum of $100.00 dollars. If your earnings are under $100.00, or you request a higher minimum payout, your payout will carry over to the next week. New accounts may be subject to a payment hold and/or additional payout wait time(s).

3) You are strictly forbidden from generating traffic through sites that contain material which constitutes an infringement, misappropriation or violation of any person's intellectual property rights such as copyrights, trademark rights, rights of publicity, patent rights, personal property rights, privacy rights or other rights. No bulk e-mail advertising allowed whatsoever. In addition, mass messaging via internet clients and/or services is strictly forbidden, this includes but is not limited to: blogs, news groups, social networks, message boards, irc, icq, aol, aim, yahoo, msn, etc. Violation of this policy will result in the immediate termination of your account, forfeiture of all unpaid earnings and we reserve the right to pursue legal action against you, both civil and criminal. We do not allow clients to advertise, market or promote domain names setup with Maxxximize.com services through the transmission of bulk e-mailings. No spamming of any kind or in any form, whatsoever, is permitted.

4) We reserve the rights to cancel any account that has an unusually high number of membership and/or service cancellations and refunds. In addition, we reserve the right to cancel this service at any time, without prior notification. In such cases you will be notified immediately by e-mail and paid for all accumulated earnings up to that point in time.

5) Nothing in this Agreement will create any partnership, joint venture, agency franchise, sales representative, or employment relationship between you and Maxxximize.com. You will have no authority to make or accept any offers or representations on our behalf.

6) We reserve the right to deny services and admittance to any prospective client based on signup information or for any other reason.

7) Maxxximize.com abides by a zero tolerance policy relating to any illegal content and/or materials. child pornography, bestiality, rape, torture, snuff, death and any other type of obscene or illegal material shall not be tolerated by Maxxximize.com whatsoever. Should you send visitors or cause visitors to be sent from any site which contains child pornography, bestiality, rape, torture, snuff, death of any other type of obscene or illegal material, all services will be immediately terminated and account access will be revoked.

8) Maxxximize.com does not tolerate any form of deceptive, unfair or false advertising by clients and all such practices are strictly prohibited. In addition, Maxxximize.com shall not tolerate any spyware or adaware and shall not accept any signups or leads obtained through spyware or adware and all other software which sends data back to the users without his/her knowledge or consent.

9) You may not assign this Agreement, rights and/or obligations to any third party without prior written approval of Maxxximize.com.

10) Accounts terminated by Maxxximize.com due to a violation of the terms and conditions set in this agreement, cannot re-apply for any Maxxximize.com services without the written consent of our administrators. Subject to the restriction, the present Agreement will be binding on and enforceable against parties and their respective successors and assigns. Failure by Maxxximize.com to enforce strict performance of any provision in the Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

11) Maxxximize.com shall not be liable for any losses due to net congestions and any and all similar and like occurrences or difficulties. The parties to the agreement shall not be liable or be considered in breach or default under the Agreement on account of delay or failure to perform as required by this Agreement as a result of any causes or conditions that are beyond the party’s reasonable control and that such party is unable to overcome through the exercise of commercially reasonable diligence, including but not limited to acts of god, wars, riots, acts of civil or military authority, terrorism, fire, flood, earthquakes, hurricanes, tropical storms, other natural disasters, etc.

12) You hereby agree to indemnify, defend and hold harmless Maxxximize / Maxxximize.com, its shareholders, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses (including attorneys' fees and costs) of any nature whatsoever incurred or suffered by us (collectively the losses), insofar as such losses (or actions in respect thereof) arise out of or are based on any claim or threatened claim that our use of your trademark(s) infringes on the rights of any third party or the breach of any promise, covenant, representation or warranty made by you herein or any other claim related to your domain names.

13) The terms of this agreement will begin upon activation of your account and will end when terminated by either party. Either you or we may terminate this agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your e-mail address on file is considered sufficient notice for termination of this Agreement. If this Agreement is terminated because you have violated the terms of service you will not be eligible to receive any payments earned prior to the date of termination. If this Agreement is terminated for any other reason, you are only eligible for earnings on sales/conversions occurring during the term of the Agreement, and earnings through the date of termination will remain payable only if the sales/conversions are not reversed and fully verified. We reserve the right to withhold your final payment for a reasonable time to ensure that the correct amount is paid.

14) We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion. Notice of any change by e-mail, to your e-mail on file or the posting on our site of a change notice of a new agreement, is considered sufficient notice for notifying you of a modification to the terms of service and conditions of this Agreement. Modifications may include, but are not limited to, changes in the payment structures, payout schedules, payment procedures, and terms of service. All such modifications shall take effect 24 hours after we serve notice as provided above, unless we indicate otherwise. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation and usage of provided services, following our posting of a change notice or new agreement on our site, will constitute binding acceptance of the change.

This Agreement contains the complete terms of service and conditions that apply to you as a client of the domain traffic monetization service(s) provided by Maxxximize.com, operated by NL Web Holdings Ltd. You cannot receive services unless you have accepted each and every term above.
